BY ACCESSING OR USING THE SPECTRUMCARE WEBSITE AT HTTPS://SPECTRUMCARE.PET OR ANY RELATED SERVICES (COLLECTIVELY, THE "SERVICES"), YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE (THE "TERMS"). IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES.

These Terms constitute a legal agreement between you ("you" or "User") and PupPilot Corporation, a Delaware corporation doing business as SpectrumCare ("SpectrumCare," "we," "us," or "our"). By using the Services, you represent that you are at least 18 years of age or have the consent of a parent or legal guardian.

Overview of Services

SpectrumCare is a pet health information website and veterinary clinic directory. Our Services include educational content about pet health conditions, medications, nutrition, costs, and care, as well as a directory to help pet parents find local veterinary clinics. We may also offer tools such as cost estimators, pet health guides, and client handouts.

Our goal is to provide helpful, accessible information to pet parents and to connect them with local veterinary professionals. We are not a veterinary practice, and using our Services does not create a veterinarian-client-patient relationship (VCPR) between you and SpectrumCare or any veterinary professional.

THE CONTENT PROVIDED THROUGH THE SERVICES IS FOR GENERAL INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. IT IS NOT INTENDED AS, AND DOES NOT CONSTITUTE, VETERINARY MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. THE SERVICES ARE NOT A SUBSTITUTE FOR PROFESSIONAL VETERINARY CARE.

Use of this website does not create a veterinarian-client-patient relationship (VCPR) between you and SpectrumCare or any veterinary professional. If you believe your pet may have a medical emergency, contact your veterinarian or local emergency animal hospital immediately.

SpectrumCare maintains a directory of veterinary clinics for informational purposes. Inclusion of a clinic in our directory does not constitute an endorsement, recommendation, or guarantee of the quality of services provided by that clinic. We do not verify the credentials, licensing, or qualifications of any veterinary professionals listed in our directory beyond publicly available information.

Veterinary clinics may submit or update their own listing information. SpectrumCare is not responsible for the accuracy of information provided by clinics. You should independently verify any clinic's credentials, licensing, hours, services, and pricing before making an appointment.

When you use our directory to contact or connect with a veterinary clinic, you acknowledge that any relationship formed is between you and that clinic. SpectrumCare is not a party to and is not responsible for any services, communications, or transactions between you and any veterinary clinic.

User Conduct

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable federal, state, local, or international law or regulation.
• Use the Services to transmit or procure the sending of any advertising or promotional material, including any "junk mail," "chain letter," "spam," or similar solicitation.
• Impersonate or attempt to impersonate SpectrumCare, a SpectrumCare employee, another user, or any other person or entity.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm SpectrumCare or users of the Services.
• Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services, without our prior written consent.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.
• Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as permitted by these Terms.

Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, text, displays, images, graphics, photographs, video, audio, and the design, selection, and arrangement thereof) are owned by PupPilot Corporation, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may access and use the Services for your personal, non-commercial use only. You may print or download content from the Services for your own personal, non-commercial, informational use, provided that you do not modify any content and you keep intact all copyright and other proprietary notices. You may not reproduce, distribute, or create derivative works from our content for commercial purposes without our express written permission.

User Content

If you submit content to the Services (such as reviews, feedback, comments, or suggestions), you grant SpectrumCare a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. You represent and warrant that you own or control all rights to the content you submit, and that such content does not violate these Terms or any applicable law.

The Services may contain links to third-party websites, services, or content that are not owned or controlled by SpectrumCare. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities or their websites.

Your interactions with third-party websites, including veterinary clinics found through our directory, are solely between you and such third parties. You agree that SpectrumCare shall not be responsible or liable for any loss or damage of any sort incurred as a result of any such dealings.

Disclaimer of Warranties

THE SERVICES AND ALL CONTENT, INFORMATION, AND MATERIALS AVAILABLE THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SPECTRUMCARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SPECTRUMCARE DOES NOT WARRANT THAT (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE CONTENT PROVIDED THROUGH THE SERVICES WILL BE ACCURATE, COMPLETE, RELIABLE, OR CURRENT; (C) ANY ERRORS OR DEFECTS IN THE SERVICES WILL BE CORRECTED; OR (D) THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SPECTRUMCARE MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY VETERINARY, MEDICAL, HEALTH, NUTRITIONAL, BEHAVIORAL, OR COST INFORMATION PROVIDED THROUGH THE SERVICES. THE INFORMATION MAY CONTAIN ERRORS OR OMISSIONS AND MAY NOT REFLECT THE MOST CURRENT VETERINARY RESEARCH OR DEVELOPMENTS. YOU ASSUME THE ENTIRE RISK OF USING ANY INFORMATION PROVIDED THROUGH THE SERVICES.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPECTRUMCARE, PUPPILOT CORPORATION, NOR THEIR DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR CONTENT PROVIDERS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING WITHOUT LIMITATION ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (E) ANY VETERINARY, MEDICAL, HEALTH, OR FINANCIAL DECISIONS MADE BASED ON INFORMATION PROVIDED THROUGH THE SERVICES.

IN NO EVENT SHALL SPECTRUMCARE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED ONE HUNDRED DOLLARS ($100.00).

NOTHING IN THESE TERMS WILL LIMIT, EXCLUDE, OR RESTRICT A PARTY'S LIABILITY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

Indemnification

You agree to indemnify, defend, and hold harmless PupPilot Corporation, its affiliates, and each of their respective officers, directors, employees, agents, and representatives from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including but not limited to your User Content, any use of the Services' content other than as expressly authorized in these Terms, or your use of any information obtained from the Services.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, excluding its conflicts of law rules. Any dispute between you and SpectrumCare related to these Terms or the Services will be resolved by binding arbitration in the English language in the State of Tennessee under the rules of JAMS. The decision of the arbitrator will be enforceable in any court.

Changes to These Terms

SpectrumCare reserves the right, in its sole discretion, to update, change, or replace any part of these Terms. The most current version of these Terms will be posted on the Services. If the changes include material changes that affect your rights or obligations, we will notify you by reasonable means, which could include a prominent notice on the Services or via email. Your continued use of the Services following the posting of any changes to these Terms constitutes acceptance of those changes. If you do not agree to the new Terms, you must stop using the Services.

Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

Entire Agreement

These Terms constitute the entire agreement between you and SpectrumCare regarding your use of the Services, and supersede all prior or contemporaneous communications and proposals (whether oral, written, or electronic) between you and SpectrumCare with respect thereto.
